The agreement between you and Eubulia when you use the service. Plain language where possible; precise where it matters.
By creating an account on eubulia.eu or using Eubulia ("Eubulia", "we", "our"), you ("you", "Customer") agree to these Terms of Service ("Terms") and to our Privacy Policy. If you do not agree, do not use the service.
Where you process personal data of your own clients in Eubulia, our Data Processing Agreement (DPA) applies in addition to these Terms.
Eubulia is a structured-second-brain product for independent management consultants. It provides:

Eubulia, including its software, design, brand, logo, frameworks library, and skill system, is owned by Søren Porskrog and protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the service for your professional consulting work, subject to these Terms.
You retain all rights, title, and interest in the content you input or upload to Eubulia ("Customer Content"). You grant us a limited license to host, process, and display Customer Content as needed to provide the service to you. We do not claim ownership of your work.
Output generated by Eubulia's AI components (chat responses, structured extractions, framework outputs) is provided to you for your use without claim of authorship by us. AI-generated content may resemble pre-existing material; you are responsible for confirming originality where required by your client engagements.
Frameworks bundled with Eubulia (Wardley Mapping, SWOT, Pyramid Principle, OKR, ways-means-ends, benefits maps, etc.) are publicly known methodologies attributable to their original authors. Eubulia's implementation of these frameworks (skill files, data structures, output renderers) is our IP.
If you send us suggestions or feedback, you grant us a perpetual, royalty-free license to use, modify, and incorporate it without obligation to you. We are grateful for it but are not contracting to act on any specific feedback.
How we handle your data is described in our Privacy Policy and, where applicable, our DPA.
We treat Customer Content as confidential. We will not access it except to operate the service, troubleshoot issues you report, comply with law, or with your explicit consent. Our staff (currently: the founder) are bound by confidentiality obligations.
During alpha (until General Availability launch), Eubulia is provided free of charge to invited testers. Founder onboarding and direct support are included.
At GA, the service moves to a paid tier. Current intended pricing:
Payment is processed by Stripe. You authorize us to charge your payment method on the agreed schedule. Failed payments may result in service suspension after a grace period of 7 days.
Monthly subscriptions are non-refundable for partial months. Annual subscriptions are refundable on a pro-rata basis if cancelled within 30 days. We may issue goodwill refunds at our discretion.
Eubulia is currently in pre-launch alpha. You acknowledge:
Alpha access is provided as a courtesy and may be revoked at our discretion with reasonable notice.
We aim for 99.5% monthly uptime but make no formal SLA during alpha. Maintenance windows are announced in advance where possible. Outages caused by sub-processors (Supabase, Render, Mistral, etc.) are disclosed to you with the upstream incident report.
Formal SLA terms with credits will be introduced at GA for paying customers.
We may update Eubulia continuously. Material changes — defined as removal of a documented feature, change in pricing, change in data handling, or change in legal terms — are notified to active customers at least 30 days in advance via email and via in-app banner.
We aim to be additive: new features rarely break existing workflows.
You may close your account at any time via Settings → Account → Close Account, or by emailing hello@eubulia.eu. We process closure within 7 business days.
We may terminate or suspend your access for material breach of these Terms (acceptable use, payment default after grace period, sanctions compliance). We will provide notice where practical.
On termination, you receive a 30-day window to export your data:
After 30 days, we hard-delete your data per the retention schedule in our Privacy Policy.
Eubulia is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties — express, implied, or statutory — including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of AI-generated output, and uninterrupted availability.
You should not rely on AI-generated output as the sole basis for material decisions affecting your clients without your own professional review. AI assists; you remain responsible.
To the maximum extent permitted by applicable law:
You agree to indemnify and hold us harmless from claims arising out of your misuse of the service, your breach of these Terms, your violation of third-party rights, or unlawful processing of personal data of your own clients in Eubulia (where you are the controller).
These Terms are governed by the laws of Denmark, excluding its conflict-of-law rules. Disputes shall be resolved in the Copenhagen City Court (Københavns Byret) as venue of first instance, unless mandatory consumer-protection law in your country of residence dictates otherwise.
